NOTICE TO OUR CUSTOMERS

Mexico City, October 22, 2018

Dear Customer,

Since its foundation Corporación Interamericana de Entretenimiento, S.A.B. de C.V. (“CIE”) has focused on developing recreational and entertainment products and services outside home with the highest level of quality. Throughout the history and consolidation of the company, CIE has been characterized by generating and subsequently transforming the offer of entertainment outside home in Mexico. CIE is constantly adapting to the conditions and innovating in market trends.

The business model of CIE is based, among other things, on the efficiencies achieved by the combination of efforts, generation of opportunities and resources among the different areas and business divisions managed by the company. CIE considers that this model is operational, economically functional and undoubtedly beneficial for generating a valuable offer for its customers and consumers.

Trusting the above-mentioned, in order to encourage greater competition in the industry in which CIE participates, CIE hereby informs you about the commitment offered to and acquired by itself and some of its subsidiaries before the Federal Commission of Economic Competition (COFECE), for a period of 10 (ten) years (the "Commitment"), in order, among other things, not to establish in future agreements for the provision of the ticketing service that Venta de Boletos por Computadora, S.A. de C.V. (“VBC”) or any present or future subsidiary of CIE, execute with [a] third party owners, operators and/or programmers of the venues, and [b] third parties promoters of live public spectacles, regarding events to be performed on venues currently owned by, leased by, managed by, operated by and/or whose programming is managed by CIE or any of its subsidiaries, and the venues that in the future could be owned by, leased by, managed by, operated by and/or whose programming is managed by CIE or any of its subsidiaries (the "CIE Venues"):

(i) clauses that impose on the counterpart(s) of VBC or any present or future subsidiary of CIE, the duty to contract such entities for the sale or commercialization of tickets for the event (s) that [x] for the case of owners, operators and/or programmers of venues, are carried out in the venue or venues in question, as appropriate, pursuant to the object of the corresponding agreement, or [y] in the case of promoters of live public shows, are promoted or organized by the counterpart in venues other than the CIE Venues, as appropriate, pursuant to the object of the corresponding agreement;

(ii) clauses that impose on the counterpart(s) of VBC or any present or future subsidiary of CIE, conventional penalties or any other type of penalization for using a ticketing system or ticketing service other than the service of such entities for the sale or commercialization of tickets [x] in the case of property owners, operators and/or programmers, for the event or events that take place in the venue or venues in question, as appropriate, pursuant to the object of the corresponding agreement, or [y] in the case of promoters of live public shows, for the event(s) object of the corresponding agreement;

(iii) clauses that impose on the counterpart(s) of VBC or any present or future subsidiary of CIE, the obligation to offer a right of first option and/or preference to such entities, over other providers of ticketing services for the renewal of the contractual relationship;

(iv) clauses that establish automatic renewal rights upon the termination of agreements for the provision of the ticketing service, and

(v) clauses that establish the obligation of the counterpart(s) to guarantee that there is no agreement already executed nor to be executed with any third party outside the corporate group headed by CIE, regarding the commercialization of tickets.

In accordance with the commitments assumed before the Federal Commission of Economic Competition (COFECE), VBC, or any present or future subsidiary of CIE, will not establish the clauses previously described in future agreements, for a term of 10 (ten) years, starting on October 23, 2018.

CIE, VBC and the subsidiaries and/or affiliates of CIE have as policy to develop, and they actually develop all their activities, with strict adherence to the law, including the Federal Law of Economic Competition and its Regulatory Provisions. CIE, VBC and the subsidiaries and/or affiliates of CIE consider that with the commitments assumed before the Federal Commission of Economic Competition, the process of competition and free competition in the live entertainment market in Mexico is promoted and reinforced.

NOTICE TO OUR CUSTOMERS PROMOTERS OF EVENTS

(“CIE”) has focused on developing recreational and entertainment products and services outside home with the highest level of quality. Throughout the history and consolidation of the company, CIE has been characterized by generating and subsequently transforming the offer of entertainment outside home in Mexico. CIE is constantly adapting to the conditions and innovating in market trends.

The business model of CIE is based, among other things, on the efficiencies achieved by the combination of efforts, generation of opportunities and resources among the different areas and business divisions managed by the company. CIE considers that this model is operational, economically functional and undoubtedly beneficial for generating a valuable offer for its customers and consumers.

Trusting the above-mentioned, in order to encourage greater competition in the industry in which CIE participates, CIE hereby informs you about the commitment offered to and acquired by itself and some of its subsidiaries before the Federal Commission of Economic Competition (COFECE), for a period of 10 (ten) years (the "Commitment"), in order, among other things, to waive and, therefore, leave without effect and consider as eliminated the following clauses contained in the agreements for the provision of ticketing services for the access to live public spectacles that Venta de Boletos por Computadora, S.A. de C.V. (“VBC”) could have executed with third parties promoters of live shows (excluding those agreements executed with subsidiaries and related parties of CIE):

(i) clauses that impose on the counterpart(s) of VBC the duty to contract such VBC or any of the subsidiaries of CIE in Mexico for the sale or commercialization of tickets for the event(s) that are being promoted or organized by the User, in venues other than the venues owned by, leased by, managed by, operated by and/or whose programming is managed by VBC and/or its parents and/or its subsidiaries, as appropriate, pursuant to the object of the corresponding agreement;

(ii) clauses that impose on the counterpart(s) of VBC, conventional penalties or any other type of penalization for using a ticketing system or ticketing service other than the service of VBC or any of the subsidiaries of CIE in Mexico for the sale or commercialization of tickets for the event or events that are being promoted or organized by the User, in venues other than the venues owned by, leased by, managed by, operated by and/or whose programming is managed by VBC and/or its parents and/or its subsidiaries, as appropriate, pursuant to the object of the corresponding agreement;

(iii) clauses that impose on the counterpart(s) of VBC, the obligation to offer a right of first option and/or preference to VBC or any of the subsidiaries of CIE in Mexico, over other providers of ticketing services for the renewal of the contractual relationship;

(iv) clauses that establish automatic renewal rights upon the termination of agreements, and

(v) clauses that establish the obligation of the counterpart of VBC to guarantee that there is no agreement already executed nor to be executed with any third party outside the corporate group headed by CIE, regarding the commercialization of tickets.

VBC has already carried out or is currently carrying out the corresponding procedures for the duly execution of the Commitment.

CIE, VBC and the subsidiaries and/or affiliates of CIE have as policy to develop, and they actually develop all their activities, with strict adherence to the law, including the Federal Law of Economic Competition and its Regulatory Provisions. CIE, VBC and the subsidiaries and/or affiliates of CIE consider that with the commitments assumed before the Federal Commission of Economic Competition, the process of competition and free competition in the live entertainment market in Mexico is promoted and reinforced.
